Terms and Conditions (Terms of Service)

Welcome to Haysoft IT. These Terms of Service (“Terms”) govern your access to and use of the web engineering, mobile app development (iOS & Android), custom software solutions, technical SEO/GEO services, and software platforms hosted by us (collectively, the “Services”) provided by Haysoft IT (“Haysoft”, “we”, “us”, or “our”), located at Maximilianstr. 14, 41472 Neuss, Germany.

By using our services or starting a project with us, you agree to be bound by these Terms. If you do not agree to these terms, please do not use our services.

1. Use of Services

  • a. Eligibility: You must be at least 18 years old to use our services or enter into a project contract with us.
  • b. Account and Project Registration: You may need to create an account to access our services (customer panels or our SaaS products). You agree to provide accurate, current, and complete information during registration and project initiation. You are responsible for the security of the access credentials (server, hosting, Apple/Google Developer accounts) you provide to us.
  • c. Prohibited Activities: You may not use our services and the software we produce for illegal purposes, attempt to disrupt system integrity, reverse engineer our proprietary infrastructures, or unauthorizedly reproduce and sell the licensed products we provide.

2. Fees, Payments, and Billing

  • a. Project and Subscription Fees: Custom software/app development services are billed according to the milestones in the project contracts signed by the parties. Our SaaS platforms, maintenance, and SEO/GEO consulting services are subject to periodic subscription fees. Unless otherwise stated, our prices do not include taxes.
  • b. Payment Methods: Payments are collected via bank transfer or through the secure credit card infrastructure provided by Stripe.
  • c. Delays and Automatic Renewal: Subscription-based services automatically renew at the end of the term unless canceled. Delays in project payments may result in the suspension of the project or an extension of delivery times.

3. Refund Policy

  • a. Custom Software and Applications: The time and labor spent on websites, mobile applications, and custom software projects are non-refundable. Down payments received at the start of a project and payments made after approved milestone deliveries are non-refundable.
  • b. Consulting and SEO/GEO: Technical work performed and reports provided for SEO and Artificial Intelligence visibility optimization (GEO) services are classified as digital products/services and are therefore non-refundable.
  • c. Subscription Renewals: Renewals of maintenance and server (hosting) subscriptions are non-refundable. If you do not wish to continue the service, you must cancel your subscription before the renewal date.

4. Third-Party Dependencies and Technical Limitations

  • a. Store Approvals (Apple & Google): We develop your mobile applications in strict compliance with Apple App Store and Google Play Store guidelines. However, the acceptance or rejection of applications by the stores is entirely at the discretion of the respective platforms (Apple and Google). Haysoft IT cannot be held responsible for store rejections or policy changes.
  • b. External Services and APIs: Our services may operate depending on third-party service providers (APIs) such as OpenAI, Anthropic, Google, AWS, and Stripe. Haysoft IT is not responsible for updates, access interruptions, or price changes in these systems.
  • c. Server and Infrastructure: We are not responsible for data losses or interruptions caused by third-party server providers. Our customers are obligated to perform regular backups on their self-hosted systems.

5. User’s Implementation and Maintenance Responsibility

  • a. Code and System Changes: Once the project is delivered and approved by you, the security and administration of the system transfer to you, unless you have an active technical maintenance contract.
  • b. Disclaimer: Haysoft IT cannot be held responsible for site crashes, data losses, code conflicts, or security vulnerabilities that may occur as a result of interventions in the source codes, server, or plugins by you or third parties authorized by you post-delivery.

6. Disclaimer of Warranties (Limitation of Liability)

OUR SERVICES ARE PROVIDED AT INDUSTRY STANDARDS AND HIGH QUALITY. HOWEVER, HAYSOFT IT DOES NOT GUARANTEE THE FOLLOWING:

  • A guaranteed first-page ranking on search engines (Google, etc.) or specific traffic increases.
  • Definitive citation of your brand by Artificial Intelligence (AI) chatbots or language models.
  • That the developed mobile applications will reach a specific number of downloads or financial revenue.

Limitation of Liability: To the maximum extent permitted by applicable law, Haysoft IT’s total liability shall in no event exceed the amount you have paid us in the twelve (12) months preceding the event or project giving rise to such liability.

7. Intellectual Property

The ownership of the design, source code, and application produced for your custom projects is transferred to you once all project payments have been made in full (unless there is a licensing agreement stating otherwise). However, Haysoft IT reserves the intellectual property rights to its proprietary infrastructures, open-source libraries, and core framework software used while developing the project.

You are solely responsible for the copyrights of the content (logos, texts, visuals) you provide to us for project development.

8. Termination

If you violate these Terms, fail to fulfill your payment obligations, engage in fraudulent activities, or use our services for illegal purposes, we may suspend or terminate your ongoing projects, server services, and access to our platforms without prior notice.

9. Governing Law and Dispute Resolution

These Terms and all commercial agreements between us are governed by the laws of the Federal Republic of Germany, without regard to its conflict of law principles. The courts of Neuss, Germany shall have exclusive jurisdiction to resolve any disputes arising from these Terms or the Services.
